Wholesale Terms and Conditions as of 5/06/2024

EFFECTIVE IMMEDIATELY

Please read the terms listed below IN FULL.  The following terms will be in effect for ALL wholesale customers regardless when your wholesale status was instated. By signing, you indicate that you have read and understood all the terms and policies.

Company:
Customer understands that proper and legitimate business identification is required to be disclosed to “Love That Cotton, Inc.” upon setup and  activation of a wholesale account. Customer understands that it is the right of “Love That Cotton, Inc.” to require that such information be provided and that “Love That Cotton, Inc.” has the right to refuse service should failure of proper and legitimate business identification be disclosed. Customer understands that “Love That Cotton, Inc.” is a licensed and trademarked brand and that any unauthorized use and/or misuse of the name, including, but not limited to false advertisement, illegal sale, illegal reproduction, or any other such trademark infringement that occurs domestically or internationally will result in legal action. Customer also understands that by purchasing goods wholesale from “Love That Cotton, Inc.”, that only lawful resale of those goods is being granted in the market(s) you specify. Any deviation must be preapproved in writing from “Love That Cotton”.

Orders:
 Customer understands that products and/or prices and fees are subject to change. It is the customer’s responsibility to inform “Love That Cotton, Inc.” of any changes in information such as billing/shipping address, phone/fax numbers, emails, etc. We do not accept any order changes.  In addition, in order to keep your wholesale status with Love That Cotton Inc, you must order at least two times per year (365 days).

Compliancy:
Customer agrees to conform to their state’s laws and tax regulations regarding goods purchased from “Love That Cotton, Inc.”. Customer assumes full responsibility for knowledge of their state’s compliancy regulations and laws including, but not limited to, tax laws, ingredients and labeling guidelines, should any exist.

Shipping:
Customer understands that there is a 1 to 2 week lead time, from receipt of order, on all orders being shipped within the United States and that all orders are pulled, packed and shipped in the order in which they are received. “Love That Cotton, Inc.” is not responsible for payment of shipping orders or the payment of shipping backordered items. Once a package has left the warehouse, and is in custody of the shipping provider, it is no longer Love That Cotton Inc’s responsibility.  If the shipping carrier loses a package in transit, it is the customer’s responsibility to file a claim with the shipping carrier to recover the item.

 

Returns:


Returns Policy

If you have an issue with an item you have received, you may submit a return/exchange request. We do not offer refunds, only store credit and exchanges for other in stock products. An RMA number is required for all returns. NO EXCEPTIONS.

We do not offer returns or exchanges on preorder items or sale items.

All return and exchange requests must be made within 30 days of the order delivery date. Items must be in original, unaltered packaging (non-washed, unaltered, and non-embellished)
Shipping fees are the customers responsibility for non-blemished items and subject to a 5% restocking fee.

You should expect to receive your store credit within 2-3 weeks of giving your package to the return shipper. However, in many cases you will receive a refund sooner. This time period includes the transit time for us to receive your return from the shipper (5 to 10 business days) and the time it takes us to process your return once we receive it (3 to 5 business days).

If you need to return an item, please submit a Return Authorization Form with your order number and details about the product you would like to return. We will respond quickly with instructions for how to return items from your order.  If you need assistance with submitting the RMA, you can also email us at customerservice@lovethatcotton.com

If the return is a result of a damaged/ or incorrect item sent, LTC will send you a prepaid return shipping label.

Domestic Customer Terms Agreement
Customer understands that any claims (damaged/missing items) must be made and negotiated within 5 days of receipt of goods. “Love That Cotton, Inc.” is not responsible or liable for lost or damaged items incurred by delivery company or postal authority. It is the responsibility of the customer to file a claim directly with the delivery company or postal authority in such instances. Customer assumes full responsibility for shipping costs of returned, unclaimed and/or refused parcels. Unclaimed, returned and/or refused parcels need to be reported to “Love That Cotton, Inc.” within 5 days of being returned to “Love That Cotton, Inc.” warehouse headquarters. The customer agrees that if more than 4 returns are made in one calendar year, the customer will incur a 15% restocking fee.

Payments:
Payment options include credit card, Paypal, as explained below. Personal checks are not accepted. No orders will be shipped until full payment is made and cleared. Any and all payment information remains confidential.

Credit Cards: Credit cards will be authorized first, and then the total amount will be charged with the exact freight charge. Authorizations will fall off your account automatically.

“Love That Cotton, Inc.” is not responsible for any additional fees or charges to the customer incurred by the customer’s bank. To obtain bank information, you must contact the Accounting Department, and all bank information must be kept confidential.

Paypal: Customers who request Paypal payments must provide a valid Paypal email address. Orders will be shipped only after receipt of payment.

Approved Buyers:

If any person other than the wholesale account holder is to buy under the account, the buyer must be approved. Pay stubs must be submitted to Love That Cotton Inc.  They can be emailed to wholesale@lovethatcotton.com

Pricing:

By agreeing to these terms, you agree that all product purchased with your wholesale account is for resale purposes only. Each item must be resold at a minimum of (2) times the wholesale price. This is the pricing requirement for Brick and Mortar stores, and websites, Etsy as well as YOUR business social media sites.  We strongly suggest an additional cost be added for any personalization done to the item.

 

BST (Buy/ Sell / Trade)Pricing and Rules:

The customer agrees that if selling on a BST (buy/ sell/ trade) group, you will sell at no less than 2x wholesale plus $10 per item.  No blank items are permitted to be sold on BST groups, each item sold must be personalized of If selling a “top and bottom set” the bottom can be not personalized, but must still be sold at 2x wholesale plus $10. Love That Cotton Inc, does not allow the sale of a full run of items on BST groups. Love That Cotton Inc. does not allow any items to be sold in a group that has destash, sale, purge, or any other language that would indicate that the items being sold are discounted or of low quality.  It is up the Love That Cotton’s discretion if a word or phrase is deemed to indicate a low quality item. The customer is also, not permitted to use words like destash, purge, inventory clear out etc. when posting on BST groups.  When posting on BST groups, the customer can not group LTC items with any other brand of clothing. You are however permitted to post multiple LTC items in one post (if allowed by the group you are posting in). If you have any questions, it is the customer’s responsibility to email customerservice@lovethatcotton.com PRIOR to posting anything. Posting at the prohibited items, and posting at too low of a price will result in removal of wholesale status, without warning. We will attach pricing sheet to your wholesale acceptance email that includes the required sales prices for each SKU.

 

Product Mark Down:

The customer agrees to only mark down items on in their store, website, or business social media page.  If doing a mark down, the customer agrees to limit the length of the “sale” to no more than one week at a time, and the listing must state that the item is on sale, and the original (2x wholesale) price must be listed.

 

Destashing Product:

If you need to "destash" please do so on the wholesale facebook group www.facebook.com/groups/LTCwholesale  ONLY. Because everyone in this group is an authorized wholesale customer, the seller is permitted to sell at any price they would like.

 

Photos:

As a wholesale customer, you have our permission to use the stock photos provided by Love That Cotton Inc.  They must be used for advertisement purposes only. Prior to using these photos, you must watermark them with your business logo prior to posting. You are not permitted to use any of Love That Cotton Inc’s customer photos to advertise unless the customer who took the photo has given expressed consent.

 

Failure to comply to ANY of the above regulations will result in the immediate removal from wholesale status. No warning will be given. Your wholesale status will be revoked immediately.
